These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," "your") and The Functional Foodie Nutrition ("Company," "we," "us," "our"), governing your access to our website (thefunctionalfoodienutrition.com), services, and any products we offer.

By accessing our website, booking a consultation, enrolling in a program, or purchasing any service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of modified Terms.

Our services include:

• One-on-one functional nutrition coaching programs
• Lab testing analysis and interpretation
• Nutritional consultations
• Supplement recommendations
• Lifestyle and dietary guidance

The Functional Foodie Nutrition is an LLC registered in the State of Georgia.

These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict-of-law principles.

By using our services, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into this agreement
• You are not using our services for any illegal or unauthorized purpose
• You will comply with all applicable laws and regulations

You agree to:

• Provide accurate and complete information during intake and consultations
• Disclose any relevant health conditions, medications, allergies, or contraindications
• Inform us of any changes to your health status or medications
• Communicate clearly and professionally with our team
• Comply with the terms of any program agreement or service contract

You agree not to:

• Use our services for illegal purposes
• Harass, abuse, or disrespect our staff
• Attempt to obtain unauthorized access to client records or systems
• Copy or reproduce our educational content without permission
• Share your login credentials or account access with others

Compensation

You agree to pay the fees outlined in your service agreement or invoice. Fees for different services are:

• 6-month coaching program (including lab testing + analysis): $3,000 (pay in full or payment plan)
• Monthly membership: $197
• Fullscript supplements: cost varies depending on personalized protocol (avg $100-$200/mo)

Payment Methods

Payment methods accepted: credit card, stripe, payments directly to Fullscript

Late Payments

If payment is not received by the due date,

• A late fee of $97 will be applied
• Services may be suspended until payment is received
• Account may be sent to collections

Non-Refundable Services

• Consultations are non-refundable once rendered
• Program fees are non-refundable
• Membership fees are non-refundable, but can be cancelled at any time
• Lab testing fees are non-refundable through The Functional Foodie Nutrition, but clients can go through Fullscript directly to get a refund

Delivery Method

Our services are delivered via:

• Virtual consultations in a HIPAA compliant platform (video call)
• Email/patient portal communication
• Text/phone call

Technical Issues

We are not responsible for delays or service interruptions due to:

• Internet or technology failures
• Third-party platform outages
• Client technical difficulties
• Circumstances beyond our reasonable control

Scheduling & Cancellations

• Cancellations must be made 24 business hours in advance
• Late cancellations or no-shows forfeit the session fee ($97)
• 3 free reschedules allowed per program
• Rescheduling is subject to availability

Our Content

All content on our website and in our materials—including text, images, videos, guides, protocols, educational content, and designs—is owned by or licensed to The Functional Foodie Nutrition and is protected by copyright law. You may not:

• Copy, reproduce, or republish our content without written permission
• Use our materials for commercial purposes
• Remove or alter copyright notices or proprietary marks

Client Materials

Any health information, photos, testimonials, or other materials you provide to us may be used by us for:

• Service delivery and record-keeping
• Program development
• Case studies or testimonials (only with your written consent)

No Medical Advice

Our services are not medical advice, medical treatment, or a substitute for professional medical care. Daniyal Ayvazian is a Functional Nutrition Specialist, not a physician. We do not diagnose, treat, or prescribe for any disease or medical condition. If you have a medical concern that needs medical attention, consult a licensed healthcare provider.

No Guarantee of Results

We make no guarantee or warranty regarding:

• Program outcomes or results
• Weight loss, fertility outcomes, or symptom relief
• Improvement in lab markers or health status
• Any specific health benefits

Your results depend on your individual circumstances, genetics, effort, and compliance with recommendations.

Assumption of Risk

By engaging our services, you assume full responsibility for:

• Your health decisions
• Following (or not following) our recommendations
• Any consequences of your choices
• Consulting other healthcare providers as needed

You agree to release and hold harmless The Functional Foodie Nutrition and Daniyal Ayvazian from any claims arising from your use of our services.

Limitation of Liability

To the maximum extent permitted by law, The Functional Foodie Nutrition and Daniyal Ayvazian are not liable for:

• Any indirect, incidental, consequential, or punitive damages
• Loss of income, business, or profits
• Any claim or damage resulting from your use of our services
• Errors or omissions in our guidance or recommendations

• All testimonials represent individual experiences and are not guarantees of your results
• Results vary widely based on individual factors
• Testimonial clients have authorized the use of their information
• We retain the right to use client results and testimonials in our marketing with written consent

All client information is kept confidential and is not shared with third parties except:

• As required by law
• With your written consent
• With service providers necessary to deliver our services

Professional records are maintained according to applicable professional standards and retention requirements.

Client Termination

You may discontinue services at any time by notifying us in writing. Your responsibilities are:

• Payment for services already rendered
• Compliance with any program commitments or contracts
• Obligations upon termination including finishing payments if not paid in full

Our Termination

We may discontinue services to you if:

• You materially breach these Terms
• You are abusive or disrespectful to our staff
• You fail to pay outstanding fees for 30 days
• You provide false or misleading health information that prevents safe service delivery

We will provide 30 days written notice before terminating services, unless the breach is severe.

Informal Resolution

If a dispute arises, both parties agree to attempt to resolve it through good-faith communication before pursuing formal action.

Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Dispute Process

Option C - Mediation First Before pursuing arbitration or court action, both parties agree to participate in mediation with a mutually agreed-upon mediator in Georgia.

You agree to indemnify, defend, and hold harmless The Functional Foodie Nutrition and Daniyal Ayvazian from any claims, damages, or costs (including legal fees) arising from:

• Your breach of these Terms
• Your use or misuse of our services
• Your violation of applicable laws
• Any claim by a third party related to your use of our services

If any provision of these Terms is deemed invalid or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.

These Terms, along with any service agreement, intake form, or contract you sign, constitute the entire agreement between you and The Functional Foodie Nutrition regarding our services. Any prior negotiations, representations, or agreements are superseded by these Terms.
